International Resources Holdings submits non-binding takeover proposal for Kenmare Resources, operator of Moma titanium-minerals mine. The company already controls 51% of Zambia's Mopani Copper Mines.
International Resources Holdings has submitted a non-binding takeover proposal for Kenmare Resources, the operator of Mozambique's Moma titanium-minerals mine. The proposal is for a cash acquisition of Kenmare's entire issued and future share capital.
Kenmare confirmed the approach on 6 October, but disclosed neither a proposed purchase price nor agreed transaction terms. Discussions do not guarantee that a formal offer will follow.
The Moma Titanium Minerals Mine in northern Mozambique is a major supplier of titanium minerals and zircon. Kenmare says it has invested more than $1.5 billion in the mine, which began commercial production in 2009.
The mine has a substantial local employment footprint, with 97% of its workforce being Mozambican. Its principal products are ilmenite and rutile, which provide titanium feedstocks, and zircon.
The potential transaction is closely connected to global manufacturing and consumer-product supply chains, as Kenmare's feedstocks are primarily used to manufacture titanium dioxide pigment.
International Resources Holdings already controls 51% of Zambia's Mopani Copper Mines. The company has until 17 November to announce a firm intention to make an offer or confirm that it does not intend to proceed.
The deadline can be extended with the Irish Takeover Panel's consent. Kenmare's shares trade in London and Dublin.
